NetSuite Cloud Services Contracts

In this section, you will find Oracle NetSuite’s standard contracts for the NetSuite and SuiteProjects Pro Cloud Services including the Subscription Services Agreement, the Data Processing Agreement and any policies referred to in your contract with Oracle.

Subscription Services Agreement

This agreement governs orders for NetSuite and SuiteProjects Pro Cloud Services, including add-on orders where the Estimate/Order Form references the “Subscription Services Agreement”. An “add-on order” is an order that updates the quantity or type of previously ordered Cloud Services, such as by adding capacity, new user subscriptions, or additional SaaS service applications. For any add-on order to an original Cloud Services order, the version of the Subscription Services Agreement for Cloud Services in effect on the date of the original order will apply to the add-on order.

Controller Subscription Services Agreements

This agreement governs orders for NetSuite and SuiteProjects Pro Cloud Services, including add-on orders” where the Estimate/Order Form references the “Controller Subscription Services Agreement”. An “add-on order” is an order that updates the quantity or type of previously ordered Cloud Services, such as by adding capacity, new user subscriptions, or additional SaaS service applications. For any add-on order to an original Cloud Services order, the version of the Controller Subscription Services Agreement for Cloud Services in effect on the date of the original order will apply to the add-on order.

NetSuite Subscription Services Agreement

NetSuite Cloud Services Contracts – Controller Subscription Services Agreements

Oracle Subscription Services Agreement for SuitePeople Workforce Management (formerly known as the Subscription Services Agreement for Adi Insights)

Data Processing Agreement

If your Estimate/Order Form (the ‘order’) for NetSuite and SuiteProjects Pro Cloud Services incorporates in the Oracle Data Processing Agreement (“DPA”), the applicable DPA can be found by going to the Oracle Cloud Contracting page found at the following URL: https://www.oracle.com/contracts/cloud-services/.

Effective August 23, 2025: For Customers located in Brazil, the Brazilian Standard Contractual Clauses (“SCCs”) also apply to Customer’s Estimate/Order Form. These Brazilian SCCs can be found at the link above under “Brazilian Standard Contractual Clauses: Existing Customer Agreements” or on the “A-Z” tab (https://www.oracle.com/contracts/a-z/contract-documents/).


Hosting and Support Delivery Policies

NetSuite Cloud Services: Supplemental Terms and Conditions (f/k/a “NetSuite Cloud Services In-Application Supplemental Terms and Disclaimers”)

Customer may have access to enable and/or use additional features within the NetSuite Cloud Service (“Features”) which may be subject to additional terms and conditions and may also require Customer’s acceptance of in-application terms and conditions. Your use of any such Features is governed by the NetSuite Cloud Services: Supplemental Terms and Conditions (prior to December 2024, the “NetSuite Cloud Services In-Application Supplemental Terms and Disclaimers”).



NetSuite Professional Services Addendums

Online Professional Services Addendum. The Online Professional Services Addendum governs certain professional services and training services provided by Oracle to Customer. The Online Professional Services Addendum is incorporated into the Subscription Services Agreements (versions June 2019, June 2020, March 2021, June 2022, or June 2023), the Transactional Subscriptions Services Agreement (versions June 2020, March 2021, June 2022, or June 2023), or the Transactional Controller Subscription Services Agreement (versions Sept 2022 and July 2023).

NetSuite CPQ Professional Services Addendums (formally known as Verenia for NetSuite)

Support Terms and Response Times

NetSuite Support Services for Oracle Cloud Services

These are the terms under which Oracle provides support for Oracle Cloud Services as specified in the Oracle NetSuite Service Descriptions.


Service Level Commitment ("SLC")

NetSuite Trial Account Agreement

The Trial Account Agreement governs the temporary access to a limited trial, test, training or other demo account of the NetSuite and/or Suite Projects Pro Cloud Service(s) that may be provided to you or a partner program member for such party’s non-production use..


Main Terms of Service

These Main Terms of Service, in conjunction with the Subscription Services Agreement, cover the Customer’s usage of the NetSuite Cloud Services and SuiteProjects Pro Services. These Main Terms of Service are applicable to Subscription Services Agreements where the “Terms of Service” in the Agreement reference a URL link to the online Main Terms of Service.
